XCMG Machinery is listed in Shenzhen under code 000425. Its issuer disclosures identify a state-controlled parent; historical restructuring percentages describe different dates and entities. Sources: [1] [2]

The listed issuer and its controller

The 2026 half-year report identifies XCMG Construction Machinery Co., Ltd. (徐工集团工程机械股份有限公司), stock code 000425, on the Shenzhen Stock Exchange. Its definitions distinguish the issuer from 徐州工程机械集团有限公司, referred to as XCMG Group. Sources: [1]

At 30 June 2026, the report shows that parent with 21.09% of the issuer and names Xuzhou’s municipal state-assets commission as ultimate controller. A 1 September announcement says an August 31 purchase increased the parent’s stake to 21.10%. That is a dated issuer statement, not a live share register. Sources: [1] [2]

Historical transactions need their own dates

Carlyle’s release dated 24 October 2005 announces an agreement to acquire 85% of Xugong Group Construction Machinery Co., Ltd. for US$375 million, with regulatory approvals still outstanding. Vertikal later reported that the transaction was abandoned in 2008. An agreement headline alone does not establish a completed acquisition. Sources: [6] [5]

Caixin’s September 2020 report described 16 new shareholders and a state-parent stake of 34.1% following a mixed-ownership restructuring. That historical transaction percentage is not the listed issuer’s 2026 percentage. Its April 2021 article reported a proposed backdoor listing, not a completed transaction at that date. What the latest issuer disclosure establishes

The unaudited half-year report covers January–June 2026 and states no major litigation or arbitration and no penalties/rectification within its reporting sections. These are company disclosures within that period and scope. They do not resolve foreign proceedings, authenticate every subsidiary’s record or provide a global clean-record conclusion. Sources: [1]
